Registering a company is only the start. Every Private Limited Company, OPC, and LLP in India must file a set of annual returns with the Ministry of Corporate Affairs (MCA), through the Registrar of Companies (ROC) — even if the company had no operations during the year. Missing these is one of the most common and costly mistakes new founders make.
Why it matters
Non-filing doesn't just sit quietly. Late MCA filings attract additional fees that accrue daily, and persistent default can lead to director disqualification or the company being struck off the register. Staying compliant keeps your company in good standing for banking, funding, and tenders.
Key annual filings for a Private Limited Company
| Form | What it is | Broad timing |
|---|---|---|
| AOC-4 | Filing of financial statements | Within 30 days of the AGM |
| MGT-7 / MGT-7A | Annual return | Within 60 days of the AGM |
| DIR-3 KYC | Director KYC for each director | Annually |
| ADT-1 | Auditor appointment intimation | Within 15 days of appointment |
Alongside the forms, companies must hold board meetings and an Annual General Meeting (AGM), maintain statutory registers, and keep minutes and resolutions properly recorded.
The statutory audit
A Private Limited Company must have its accounts audited by an independent Chartered Accountant every year, regardless of turnover. The audited financials then feed into the AOC-4 filing and the income-tax return. Clean, up-to-date books make the audit painless — which is exactly why good bookkeeping pays off at year-end.
LLPs have their own (lighter) set
LLPs file Form 11 (annual return) and Form 8 (statement of account and solvency), with audit only required once turnover or contribution thresholds are crossed. The cadence is simpler than a company's, but the penalties for missing deadlines are just as real.
Build a compliance calendar
The single best habit is a compliance calendar mapping every due date for the year, with reminders well in advance. Most penalties come not from inability to pay but from simply missing a date.
Annual ROC filings are required even if your company is dormant. "No activity" is not an exemption — only proper filings (or formal closure) stop the clock.
